CORPUS is a visitor experience providing a unique Journey through the Human Body that is both educational and entertaining.

The first CORPUS opened in The Netherlands in 2008 and has received millions of visitors since. The second CORPUS center has been completed in Ma’anshan (China) and is scheduled to open in 2023. Further CORPUS centers are currently in preparation for Orlando, Houston and several other locations.

The founder and current owner of CORPUS is looking to sell a majority stake in the company to ensure the continued success and further global roll-out of this universal health education experience.

The Corpus Concept

The mission of CORPUS is to play an educational, informative and preventive role in the realm of healthy living and wellness.

The concept of CORPUS is is unique worldwide - it actually consists of a seated human figure that is some 115 feet high and is half-embedded into a transparent building. Visitors take a trip through this human figure and in the process, learn about all facets of the human body (the functioning of the organs, the skeleton, the muscular system as well as various processes, etc.). The message is communicated through a combination of entertainment, information and education.

Corpus in the Netherlands

CORPUS in the Netherlands receives some 230.000 visitors on an annual basis making it a top tier attraction since its opening in 2008.

The Corpus site is built on 60.000 square feet and is designed in a rectangular structure (115 feet high) with a sitting human figure projecting out of it and halfway into the building. The building has eight stories with partial cutaways for the figure, inside of which visitors can then take the trip through the human body.
The ground floor accommodates the entrance, the lobby with the ticket office, a coffee corner and an information desk. There is also access to a multi-functional exhibition space where events can be held.
Above this, there is a Conference Center with 600 seats which can also be divided into a smaller hall with 4 break out rooms and a lounge.
There are 128 parking spaces for cars.

Corpus abroad

With Corpus opening in China (Maanshan City) in 2023 and preparations for two locations in the US in an advanced stage, the Corpus Group is on the brink of a global breakthrough with huge growth potential. Corpus World Wide (as licensor) and Reco (project development) are the two corporate entities involved.

Corpus Site Business Model

With the site in the Netherlands and the year 2019 as an example the following are the revenue streams in diminishing order of importance:

  1. Ticket Sales - approx. € 15 per person
  2. Food and beverages - visitors spend on average € 3.73 (ex. VAT) on food and beverages
  3. Conferences - Corpus acts as the location manager for conference of up to 550 persons.
  4. Parking - visitors spend on average € 1.23 (ex. VAT) on parking fees
  5. Shop - visitors spend on average € 1.22 (ex. VAT) in the site's shop
  6. Partnerships - partners pay a fee to obtain dedicated space in the museum

Corpus Global Operating Model

The international roll-out of CORPUS is set up through a combination of a License Model plus a Services & Supply Model. For each new location a local partner is identified that will own and operate the venue. The local partner is also responsible for the funding. The CORPUS Group signs a License Agreement with the local partner through two entities:

  1. Corpus World Wide
    License holding entity that grants the license to the local partner in exchange for an upfront license fee + a 25 year royalty fee based on ticket revenues.
  2. Reco Development
    The entity that builds the main attraction. Upon completion of the building by the local partner, RECO and key suppliers install the main attraction. Reco generates service and supply revenues paid in installments by the local partner.

Investment considerations

Background

CORPUS founder and current owner Mr. Henri Remmers has created a unique proposition and developed it into a successful, proven business. The opening of CORPUS China is now imminent and a strong foundation for growth in the USA has been laid.
It is time to pass the baton to a new owner to take CORPUS to the next level and accelerate the global roll-out. This will allow - in due time - Mr. Remmers to take a step back from the
CORPUS Operations.

Proposal

The shareholders of Corpus are seeking interested buyers to acquire a majority stake in the CORPUS Group through a share transaction in the entities that encompass the Dutch and international activities. The transaction should include an upfront cash component and an earn-out related to future CORPUS locations.
